Terms of business
This is the English version of our German Allgemeine Geschäftsbedingungen. The German version is the legally binding one.
Scope
These terms apply to all consulting and engineering services provided by IQONEX GmbH unless agreed otherwise in writing.
Engagement and proposals
Every engagement starts with a written proposal that lists scope, price and timeline. The engagement begins once the proposal is countersigned or accepted in writing.
Pricing and invoices
Prices are quoted in Euro net of VAT. Invoices are payable within 14 days. For longer engagements we typically invoice in monthly installments against an agreed schedule.
Confidentiality
We treat all client information as confidential. We are happy to sign a separate NDA. For data protection processing we sign a Data Processing Agreement per Article 28 GDPR.
Liability
Our liability is limited to gross negligence and intent, or to the scope agreed in the engagement letter. We carry professional indemnity insurance and provide proof on request.
Cancellation
Either party can terminate ongoing engagements with 30 days notice unless the engagement letter specifies otherwise. Work performed up to the termination date is invoiced normally.
Governing law
German law applies. Place of jurisdiction is Erfurt, Germany.
